The Site and the “Just Ask Akira” services are operated by Toriumi Medical Service Co., Ltd. (有限会社鳥海メディカルサービス) (“we,” “us,” or “our”). “Just Ask Akira” refers to our consulting service brand. These Terms of Service (“Terms”) govern your access to and use of the website located at justaskakira.com (the “Site”) and any consulting, advisory, or related professional services you purchase from us through the Site or otherwise (“Services”).
By accessing the Site, submitting an inquiry, or purchasing Services, you agree to these Terms. If you do not agree, do not use the Site or purchase Services.
These Terms incorporate by reference our Commerce disclosure (including refund and payment information for online purchases) and our Privacy Policy.
If there is a conflict between these Terms and a written agreement you sign with us for a specific engagement (for example, a statement of work or master services agreement), the signed agreement controls for that engagement.
You represent that you have the legal capacity to enter into these Terms and that any information you provide to us is accurate and complete. Providing false or misleading information may result in suspension or termination of our work with you.
We provide business consulting, M&A advisory, and software development-related professional services under the Just Ask Akira brand as described on the Site or in a separate proposal, statement of work, or invoice. Unless expressly agreed in writing, descriptions on the Site are illustrative and do not guarantee a particular outcome.
We may decline or discontinue work where we reasonably believe the engagement would violate law, these Terms, or our professional standards.
Fees for Services are as quoted in a proposal, statement of work, invoice, or checkout flow. You are responsible for any taxes applicable to your purchase, except taxes based on our net income.
Online card payments may be processed by Stripe, Inc. or its affiliates (“Stripe”). Your use of Stripe’s services is subject to the Stripe Services Agreement or other terms presented at checkout. We do not store your full card number on our servers when payment is handled by Stripe.
By completing a payment, you authorize us (and Stripe, as our payment processor) to charge your selected payment method for the agreed amount.
Refund and cancellation terms for paid Services depend on what you purchased and what we agreed in writing (including our Commerce disclosure and any proposal or statement of work). Unless we state otherwise in writing, consulting and professional services fees are generally earned when allocated or delivered, and may be non-refundable once work has started or deliverables are provided.

The Site and its content (excluding your materials) are owned by Toriumi Medical Service Co., Ltd. or our licensors and are protected by intellectual property laws. You may not copy, scrape, or exploit the Site except as needed for ordinary browsing or as we expressly permit in writing.
Unless a separate agreement says otherwise, you grant us a limited license to use materials you provide to us solely to perform the Services.
We will treat non-public information you share with us as confidential in line with our engagements and applicable law, except where disclosure is required by law or you give prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ANY INFORMATION ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TORIUMI MEDICAL SERVICE CO., LTD. NOR OUR OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES PROVIDED THROUGH THE SITE (OTHER THAN LIABILITY THAT CANNOT BE LIMITED BY LAW) WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
You will defend, indemnify, and hold harmless Toriumi Medical Service Co., Ltd. and our officers, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your materials, or your violation of these Terms or applicable law.
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts having jurisdiction over the registered address of Toriumi Medical Service Co., Ltd., except where applicable law requires otherwise or grants you mandatory consumer protections in your place of residence.
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. If changes are material, we will use reasonable efforts to provide additional notice (for example, by email or a notice on the Site). Your continued use of the Site or purchase of Services after the effective date constitutes acceptance of the revised Terms.
